Welcome to Andromeda. These Terms of Service (the “Terms”) form a legally binding agreement between you and Andromeda, operated by Persephone Reborn LLC (“Andromeda”, the “Service”, “we”, “us”, or “our”) and govern your access to and use of our websites, applications, APIs, and related services. Please read these Terms carefully. By accessing or using the Service, creating an account, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.
These Terms contain provisions that limit our liability and govern how disputes are resolved, including, where permitted by applicable law, an agreement to resolve disputes on an individual basis. Please review Sections 13 and 14 carefully.
You may use the Service only if you are at least 16 years of age (or the minimum age of digital consent in your jurisdiction, if higher) and are not barred from using the Service under applicable law. If you are under the age of majority, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
By using the Service, you represent and warrant that you have the legal capacity to enter into a binding contract and that the registration information you provide is accurate and complete. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization.
To access certain features you must create an account using a unique handle beginning with &. You are responsible for safeguarding your password and any credentials, for enabling appropriate security measures (such as two-factor authentication), and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access or use. We are not liable for any loss arising from your failure to maintain the confidentiality of your credentials.
You must provide and maintain a valid email address where required, and you may need to verify it before accessing certain features. You may not impersonate any person or entity, or create an account for anyone other than yourself without permission.
Your privacy matters to us. Our Privacy practices describe how we collect, use, and share information in connection with the Service. By using the Service, you consent to such processing and you represent that all information you provide is accurate.
The Service allows you to create, post, and share content, including text, images, video, links, polls, and other materials (collectively, “Your Content”). You retain all ownership rights in Your Content. Posting on Andromeda does not transfer your copyright or other intellectual-property rights.
By submitting Your Content to the Service, you grant Andromeda a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, cache, use, reproduce, adapt, modify (e.g., for formatting and display), publish, transmit, publicly display, and distribute Your Content for the limited purposes of operating, developing, providing, promoting, and improving the Service and researching and developing new ones. This license continues for so long as Your Content is on the Service and terminates within a commercially reasonable period after you remove Your Content or close your account, except (a) to the extent Your Content has been shared or resaved by others who have not deleted it, and (b) for copies retained in routine backups or as required by law.
You represent and warrant that you own or have obtained all rights, licenses, consents, and permissions necessary to grant the foregoing license, and that Your Content does not and will not infringe or violate the rights of any third party or any applicable law. You are solely responsible for Your Content and the consequences of posting it.
The Service and all associated materials, including software, text, graphics, the Andromeda name and logo, the Sigil, and other features and functionality (excluding Your Content), are owned by Andromeda or its licensors and are protected by copyright, trademark, and other laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Service. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
If you choose to submit comments, ideas, or suggestions regarding the Service (“Feedback”), you agree that we may use such Feedback for any purpose, without restriction or compensation to you, and you grant us a perpetual, irrevocable, worldwide, royalty-free license to do so.
You agree not to misuse the Service. Without limitation, you will not:
We may, but are not obligated to, review, monitor, or remove content and may take action against accounts that violate these Terms or our Community Guidelines.
Zero tolerance for objectionable content and abusive users. Andromeda has no tolerance for objectionable content — including harassment or bullying, hate speech, sexual content involving minors, non-consensual intimate imagery, graphic violence, and credible threats — or for abusive users. To keep the community safe:
We respect intellectual-property rights and expect users to do the same. We respond to notices of alleged copyright infringement that comply with applicable law, including the U.S. Digital Millennium Copyright Act (DMCA). If you believe Your Content has been copied in a way that constitutes infringement, please submit a notice containing the elements required by law to copyright@andromedasphere.com. Where appropriate, we may remove allegedly infringing material, notify the affected user, accept counter-notices, and terminate the accounts of repeat infringers.
The Service may contain links to or integrations with third-party websites, content, or services that we do not own or control. We are not responsible for, and do not endorse, such third parties. Your use of any third-party service is at your own risk and subject to that third party's terms and policies.
Certain features let you connect an external account—for example, a music-streaming service such as Spotify or Apple Music—so that information from that service can appear on the Service. You may connect or disconnect such accounts at any time in your settings. By connecting an account, you authorize us to access the relevant information from that provider on a read-only basis, and you represent that you are entitled to do so under that provider's terms. Your use of the connected service remains governed by that provider's terms and privacy policy, and we are not responsible for its availability, accuracy, or practices. Our handling of information obtained through such connections is described in our Privacy Policy.
You may stop using the Service at any time. You may deactivate your account (a reversible pause) or permanently delete it from your settings. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms or applicable law, if necessary to protect the Service or other users, or for prolonged inactivity. Upon termination, the rights and licenses granted to you will cease, and Sections that by their nature should survive (including Sections 4–6 and 11–19) will survive.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY CONTENT IS ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ANDROMEDA OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Andromeda and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, Your Content, or your violation of these Terms or the rights of any third party.
These Terms and any dispute arising out of or relating to them or the Service will be governed by the laws of the State of New Hampshire, United States, without regard to its conflict-of-laws principles, and the state and federal courts located in New Hampshire will have jurisdiction. To the extent permitted by applicable law, you and Andromeda agree to first attempt to resolve any dispute informally, and that any unresolved dispute will be resolved on an individual basis; you waive any right to participate in a class or representative action to the fullest extent permitted by law. Nothing in this Section limits rights that cannot be waived under applicable law.
We may modify the Service or these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a new effective date or notifying you within the Service. Changes are effective when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.
These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Andromeda regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control.
The Service includes a virtual currency and virtual items, including “Stardust.” Stardust and other virtual items represent a limited, personal, non-transferable, revocable license to use a feature of the Service. They are not your property, have no monetary value, are not legal tender, currency, or a financial instrument, and cannot be redeemed for cash or anything of monetary value except where we expressly permit or applicable law requires.
You may obtain Stardust only as we allow. You may not sell, trade, gift outside the Service, sublicense, or otherwise transfer Stardust or virtual items except through features we expressly provide. We may create, manage, regulate, price, modify, devalue, or eliminate Stardust and virtual items at any time, with or without notice, and we have no liability to you for doing so. Balances may expire as disclosed and are forfeited if your account is terminated for a violation of these Terms.
Certain features require payment, including subscription tiers, premium content, tips, and commissions. Prices, billing intervals, and included features are as described at the point of purchase. Subscriptions automatically renew for successive periods until you cancel; you may cancel at any time and cancellation takes effect at the end of the then-current billing period. Except where required by applicable law or expressly stated, payments are non-refundable and there are no refunds or credits for partial periods. We may change prices and features prospectively with reasonable notice. Applicable taxes may be added. Payments may be processed by third-party payment providers subject to their own terms.
Creator monetization. Eligible creators may receive tips, subscription revenue, commissions, or other amounts in connection with their content (including in Aurora and Lyra), subject to eligibility requirements, applicable fees and revenue shares, payout thresholds and schedules, identity and tax verification, and our policies. You are solely responsible for any taxes on amounts you receive. We may withhold, delay, reverse, or deduct amounts associated with fraud, chargebacks, refunds, or violations of these Terms.
The Service offers features powered by artificial intelligence and automated systems, such as content summaries, writing and image tools, recommendations, search, and safety and moderation systems. Some of these features are provided with the help of third-party AI providers that process inputs to generate outputs.
AI-generated or AI-assisted outputs may be inaccurate, incomplete, biased, or otherwise inappropriate, and are provided on an “as is” basis. They are not a substitute for professional advice. You are responsible for reviewing outputs and for how you use them, and you must not use AI features to generate content that is prohibited by these Terms or our Community Guidelines or that infringes others' rights. We may use automated systems to detect potential violations and to operate and secure the Service; see our Privacy Policy for more on automated processing.
The Service includes live audio and video: direct-message calls, live streams, and Spheres. Your microphone and camera are used only when you turn them on. Hosts and co-hosts may manage their rooms, including muting or removing participants and ending a session.
Recording. A host chooses whether their room may be recorded at all, and what may become of a recording: kept by the host, replayable by the people who were present, or published. Where recording is permitted, everyone present is shown a notice while it is happening. You agree that you will not record, transcribe, or capture a call or room where the applicable law requires consent you do not have, and that you are responsible for knowing the law that applies to you and to the other participants. You may not circumvent the recording controls or the notice, including by capturing the session with other software while the host has recording switched off.
What you may not do in a live room. Re-publish, sell, or distribute another participant’s voice, likeness, or words outside the Service without their permission; use a room to harass, threaten, or impersonate; broadcast content you do not have the rights to; or present a room as affiliated with a person or organisation it is not. Our Community Guidelines apply in live rooms exactly as they do everywhere else, and enforcement may include ending a session or removing accounts.
Live sessions depend on your network and on third-party connectivity services, and we do not guarantee that a call will connect, remain connected, or be free of interruption.
